1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and PipeCrush LLC, an Indianalimited liability company ("Company," "we," "us," or "our"), governing your access to and use of the Pipecrush platform, including our website at pipecrush.tech, applications, and related services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case "you" and "your" shall refer to such entity.

2. Description of Service

Pipecrush is a sales engagement platform that provides tools for customer relationship management (CRM), email marketing, appointment scheduling, and related business communication services. The Service enables users to:

• Manage leads, contacts, and customer relationships
• Send email campaigns and automated sequences
• Schedule appointments and manage calendars
• Deploy AI-powered chatbots and communication tools
• Track and analyze sales activities

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. Account Registration and Security

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete, or if we reasonably believe your account has been compromised.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Send unsolicited bulk emails (spam) or violate anti-spam laws including CAN-SPAM, GDPR, CASL, or similar regulations
• Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service or any systems or networks
• Use the Service to collect or store personal data about others without their consent
• Use the Service for any purpose that is illegal or prohibited by these Terms
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use automated scripts, bots, or other means to access the Service without authorization
• Resell, sublicense, or provide access to the Service to third parties without authorization

Violation of this Acceptable Use Policy may result in immediate termination of your account and access to the Service, without refund.

5. Email Compliance and Responsibility

If you use the Service to send emails, you are solely responsible for ensuring compliance with all applicable laws and regulations, including but not limited to:

• The CAN-SPAM Act (United States)
• The General Data Protection Regulation (GDPR) (European Union)
• The Canadian Anti-Spam Legislation (CASL)
• Any other applicable anti-spam or data protection laws

You represent and warrant that:

• You have obtained all necessary consents to send emails to your recipients
• Your email content is accurate and not misleading
• You will honor all unsubscribe requests promptly
• You will include valid physical mailing address in your emails where required by law

6. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of PipeCrush LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of PipeCrush LLC.

You retain ownership of any content you submit, post, or display through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Service.

7. Payment Terms

Certain features of the Service may require payment of fees. You agree to pay all applicable fees as described on the Service at the time of purchase.

• All fees are exclusive of taxes unless otherwise stated
• Fees are non-refundable except as expressly set forth in these Terms or required by law
• We may change our fees at any time with notice to you
• You are responsible for providing accurate billing information
• Failure to pay may result in suspension or termination of your account

For subscription services, your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

8. Third-Party Services and Integrations

The Service may integrate with or contain links to third-party websites, services, or applications ("Third-Party Services"), including but not limited to Google, Microsoft, and other email and calendar providers.

Your use of Third-Party Services is subject to the terms and privacy policies of those third parties. We are not responsible for the content, privacy practices, or availability of Third-Party Services.

You acknowledge that we may access and use data from Third-Party Services on your behalf as necessary to provide the Service, subject to your authorization and our Privacy Policy.

11. Indemnification

You agree to defend, indemnify, and hold harmless PipeCrush LLC, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your User Content
• Your use of the Service
• Your violation of any rights of a third party, including intellectual property rights
• Your violation of any applicable law, rule, or regulation
• Any emails or communications you send through the Service
• Any claim that your User Content caused damage to a third party

13. Dispute Resolution

Before filing a claim against PipeCrush LLC, you agree to attempt to resolve the dispute informally by contacting us through our website. We will attempt to resolve the dispute informally within sixty (60) days.

If the dispute is not resolved within sixty (60) days, either party may proceed with formal legal action in the courts of Indiana as specified in Section 12.

CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND PIPECRUSH LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR OTHER REPRESENTATIVE PROCEEDING.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and all associated data
• Any provisions of these Terms which by their nature should survive termination shall survive
• You remain liable for any fees owed prior to termination

You may terminate your account at any time by contacting us through our website or using the account deletion feature in the Service.

15. Modifications to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect.

By continuing to access or use the Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

16. Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

The failure of PipeCrush LLC to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of PipeCrush LLC.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and PipeCrush LLC regarding your use of the Service and supersede all prior and contemporaneous written or oral agreements between you and PipeCrush LLC.

18. Subscription & Billing Terms

Billing: Subscriptions are billed monthly or annually in advance. Payment is processed by Stripe, Inc. By subscribing, you authorize PipeCrush LLC to charge your payment method on a recurring basis.

Auto-Renewal: Subscriptions automatically renew at the end of each billing period. You may cancel at any time from your billing settings before renewal.

Price Changes: We will notify you of price changes at least 30 days in advance via email. Continued use of the Service after the effective date constitutes acceptance of the new pricing.

Payment Processing: Payments are processed securely by Stripe, Inc. We do not store your complete credit card information on our servers. Your payment data is governed by Stripe's Privacy Policy.
